SMS, WhatsApp, and multi-channel communication tools.

Custom AI development, consulting, and integrations.

We reserve the right to modify, update, or discontinue any part of our Services at any time.

4. User Responsibilities

You agree NOT to use our Services for:

Sending spam, unsolicited messaging, or violating TCPA/CTIA rules.
Fraudulent, abusive, or harmful behavior.
Illegal or unauthorized purposes.
Uploading malicious code, scraping, or disrupting systems.

You are responsible for ensuring your use complies with all applicable laws in your region.

5. Messaging & Communication Compliance (TCPA, CTIA, WhatsApp, Meta)

If you use our messaging-related Services, you agree to comply with all communication laws and guidelines, including:

TCPA (Telephone Consumer Protection Act)
CTIA Messaging Principles
Meta Lead Gen & Messaging Policies
Twilio A2P 10DLC requirements
WhatsApp Business Messaging Rules

You confirm that all phone numbers you upload or contact via our systems come from users who **gave valid consent**.

Prohibited Messaging

Purchased data lists
Cold outreach without consent
Illegal or deceptive messaging
Age-restricted, gambling, or loan-related content where forbidden

6. AI Services and Limitations

Our AI agents, automation tools, and communication models generate responses automatically based on programmed logic, training data, or third-party large language models.

AI systems may:

Generate incorrect or incomplete information.
Misinterpret user requests.
Vary in performance depending on inputs.

      You acknowledge that AI responses should not be considered legal, financial, or medical advice 
      and that you are fully responsible for reviewing outputs before using them in critical settings.
    

7. Payments, Billing, and Subscriptions

Some Services may require payment or subscription. By subscribing or purchasing, you agree to:

Provide accurate billing information.
Allow automatic recurring charges unless canceled.
Pay applicable taxes and fees.

Fees are non-refundable unless explicitly stated otherwise in writing.

8. Intellectual Property

9. Termination of Service

Your messaging practices violate compliance standards.
Fraudulent or harmful activity is detected.

You may cancel at any time by contacting us.

10. Limitation of Liability

To the fullest extent permitted by law, Neu Synapse is not liable for:

Indirect or consequential damages.
Loss of revenue, data, or business opportunities.
Errors generated by AI or automated systems.
Third-party service outages (Twilio, Meta, hosting, etc.).

Your sole remedy for dissatisfaction with the Services is to discontinue use.

11. Indemnification

You agree to indemnify and hold Neu Synapse harmless from any claims, damages, or liability arising from your misuse of the Services or violation of these Terms.

12. Governing Law

These Terms are governed by the laws of the State of Florida, United States, without regard to conflict-of-law rules.

Any disputes shall be resolved exclusively in state or federal courts located in Orange County, Florida.

13. Changes to These Terms

We may update these Terms periodically. Changes are effective immediately upon posting. Your continued use of the Services constitutes acceptance of the updated Terms.
